CONSTITUTION AND BY-LAWS OF THE  

FBI NATIONAL ACADEMY ASSOCIATES OF THE 

STATE OF UTAH 

AS AMENDED FEBRUARY, 1988 

AMENDED OCTOBER 2004 

  

PREAMBLE

 To promote and make permanent those friendships and relationships arising from attendance of the F.B.I. National Academy, and to strive toward advancement of the profession of law enforcement generally this Association is organized. We hereby dedicate the functions of this organization together with the ability and resources of its membership to the following:  

PURPOSE

 To uphold, support, and defend the Constitution of the United states. To protect our country against any and all enemies, whether foreign or domestic, To promote training programs in all duly constituted law enforcement agencies within the State of Utah, holding available to such agencies the benefit of training received at the F.B.I. National Academy To cooperate with the Federal Bureau of Investigation in every way possible.  To encourage and assist in the enlightenment and education of the general public. To cooperate with all law enforcement officers and the general public in all matters of mutual interest: namely, the detection and prevention of crime, the apprehension and punishment of criminals, the exchange and dissemination of ideas and information, to pledge and strive for the highest degree of respect for and the maintenance of law and order, and to conduct ourselves in a manner that will lend dignity and credit to the law enforcement profession.  

  ARTICLE I

  SECTION I. THE NAME OF THE ORGANIZATION SHALL BE

UTAH CHAPTER F.B.I. NATIONAL ACADEMY ASSOCIATES

  ARTICLE II

SECTION I. TERM OF THE ORGANIZATION

 The term of this Association shall be perpetual.  

  ARTICLE III

  SECTION I. MEMBERSHIP

Membership in this organization shall consist only of those individuals who have satisfactorily completed the prescribed course of instruction in the F.B.I. National Academy and who are engaged either directly or indirectly in matters of law enforcement designed to provide local and national peace and security.  

Membership shall be effective upon graduation from the F.B.I. National Academy and upon complying with any And all requirements established at the time of organization and subsequent thereto. Honorary membership shall be granted only to the Director of the Federal Bureau of Investigation and to Special Agents of the F.B.I.  

      SECTION II. DUES 

 The dues or assessments of this organization shall be payable at the time and place and in an amount approved by a majority vote of the membership present at any time in meeting assembled.  

  SECTION III.  SUSPENDED FROM MEMBERSHIP

Membership in this Association shall be automatically suspended:  

 1. Upon non-payment of or non-compliance with any required dues or assessments.  

 2. Upon participation in activity unworthy of or inimical to the best interest of law enforcement, as evidenced by any dismissal from any law enforcement agency based upon misfeasance or malfeasance, or by a majority vote of the membership present at any meeting of the Association.  

3. Upon participation in activity unworthy of or inimical to the best interests of the F.B.I. National Academy, as determined by a majority vote of the membership present at any meeting of the Association.  

4. Upon participation in activity unworthy of or inimical to the best interests of the Federal Bureau of Invesigat1on when so decided administratively by that Bureau. 

Whenever so deemed advisable by majority vote of the membership present at any meeting of the Association 

SECTION IV. NOTIFICATION OF SUSPENSION

 It shall be the duty of the President to notify any suspended member of any and all suspension action pertaining to said member  

  SECTION V. REINSTATEMENT OF SUSPENDED MEMBER 

 Upon elimination or removal of the cause of suspension or denial of membership, a member may be reinstated to good standing in the Association by majority vote of the membership present at any meeting of the Association.  

  ARTICLE IV

SECTION I OFFICERS OF THE ASSOCIATION 

The officers of this Association shall be;  

1. President  

 2. 1stVice-President  

3. 2ndVice –President 

4. Secretary-Treasurer 

5. Immediate Past-President 

6. These officers shall be known as the Board of Governors and/or the Executive Board.  

SECTION II. A QUORUM AT ANY MEETING CALLED BY PRESIDENT

 A quorum at any announced meeting, as called by the President shall consist of those members who are present.   

ARTICLE V.

SECTION I. ELECTION OF OFFICERS. OF THE ASSOCIATION

 The officers of this Association shall be elected at the Fall annual meeting of the Association and shall serve for a period of one year from the date of their election or until such time as their successors have been duly elected and qualified. Nominations shall be made from the floor until such time as the membership, by majority vote of those present, shall effect a change. 

To maintain a fair unbiased board and to have no perceived Agency having an advantage over another, no agency may have more than one member sitting on the Board at the same time  

SECTION II. PROCEDURE OF ELECTION OF OFFICERS  

The Officers of this Association shall be elected by majority vote. Election shall be determined by a count of secret ballots, if there is more than one nomination for that position. 

Votes will be tallied by two of the Board members and the results given to the President for announcement to the members 

SECTION III. PROCEDURE IN ABSENCE OF RANKING OFFICERS 

When the office of the President becomes vacant, the 1stVice-President shall assume responsibilities of the Office of President. If and when the office of both the President and 1st Vice-President become vacant, the 2ndVice President shall assume the responsibilities of the President. If and when the office of President, 1st Vice-President, and 2nd Vice-President become vacant, the Secretary shall notify the membership and shall arrange for and issue call for a meeting of the membership at which time a member shall be selected to serve as President until the next annual meeting. 

ARTICLE VI 

  SECTION I. DUTIES OF THE ELECTED OFFICERS 

The President shall preside at all meetings of the Association. In conducing meetings of the Association His decision shall be final unless otherwise provided for by this Constitution. His decision may be reversed by a majority vote of the membership present. He shall appoint all pro-term officers in cases of absentees. If, in the opinion of the President, an occasion or circumstance shall warrant calling a special meeting, he shall have the authority to call such a meeting and shall notify the membership of the date, time and place of such special meeting and the purpose of the same. It shall be the duty of the President to monitor all checks written against the organization with the Secretary-Treasurer. All checks written must be signed by two of the board members. 

The President shall appoint the members of all committees otherwise provided for.  

The President shall be a member of all committees.  

The President will with the Board will re-view and interview all candidates to insure standards are met, to insure equal distribution of allotments and to prevent the Chapter from being penalized. 

Protocols will be in writing and the membership will be notified of the process. 

SECTION II. SECRETARY-TREASURER 

He shall collect all dues or assessments and make an accounting of such funds at the regular annual meeting.   

He shall have the authority to disburse such monies for incidental expenses such as membership cards, stationary, mailing, print, etc.  

He shall place all unexpended money in a fund to the credit of the  Association. He shall keep the minutes of all meetings held He shall perform any other duties required of him by the President. 

SECTION III. BOARD OF GOVERNORS AND/OR EXECUTIVE BOARD 

The President, 1stVice-President, 2ndVice-President, Secretary-Treasurer and Immediate Past-President shall be deemed and regarded the Board of Governors and/or Executive Board. They shall establish by-laws not inconsistent with this Constitution, which shall govern this organization, unless disapproved by a majority vote of the membership present at any meeting of the Association. 

  ARTICLE VII 

SECTION I. COMMITTEES

 All committees not otherwise provided for by this Constitution sha11 be appointed by the President. All committees shall serve no longer than one year and may be relieved of their duties at any time by the President.  

 

ARTICLE VIII

SECTION I. SERGEANT-AT-ARMS

 If and when necessary the President shall appoint a member of the Association as Sergeant-At-Arms for the purpose of preventing unauthorized persons from attending meetings and to establish and maintain order.  

  ARTICLE IX

 

SECTION I. ORDER OF BUSINESS 

The order of business shall be as follows: 

 1.  Calling the meeting to order  

2.  Reading the minutes of the previous meeting  

3.  Communications  

4.  Report of Committees  

5.  Nomination and election of officers  

6.  Installation of officers           

7.  Unfinished business  

8.  New business  

9.  Discharge of committees  

10. Adjournment  

 

ARTICLE X

SECTION I. CHANGES AND AMENDMENTS TO THE CONSTITUTION

 Any changes and amendments to the Constitution may be made by a majority vote of the members present at any meeting of the Association  

  SECTION II. DISSOLUTION

Upon the dissolution of this Association, the Board of Governors shall, after paying or making provision the payment of all the liabilities of the Association, dispose of all the assets of the Association exclusively for the purposes of the Association, or to such organization or organizations organized and operating exclusively for charitable or educational purposes, as at such time qualify as an exempt organization or organizations under Section 50l(c) (3) of the Internal Revenue Code of 1986 or of the corresponding section of any successor Internal Revenue Code. 

ARTICLE XI

SECTION I. MEETINGS OF THE ORGANIZATION

Meetings of the Association shall be those luncheons and Retraining sessions to which the entire membership is invited to be in attendance and are notified of the meeting.  

RESOLUTION  

RESOLVED that the Constitution and By-Laws of the FBI National Academy Associates of the State of Utah are amended in the following particulars.  

Article X shall be and hereby is amended by adding a new Section II  as follows:  

 

SECTION II.   Dissolution.

Upon the dissolution of this Association, the Board of Governors shall, after paying or making provision for the payment of all the liabilities of the Association, dispose of all the assets of the Association exclusively for the purposes of the Association, or to such organization or organizations organized and operating exclusively for charitable or educational purposes, as at such time qualify as an exempt organization or organizations under Section 50l(c) (3) of the Internal Revenue Code of 1986 of the corresponding section of any successor Internal Revenue Code. The Constitution and By-Laws of the Association shall be further amended in any particular to comply with requirements of the Internal Revenue Code incident to the granting of tax-exempt status under Section 501(c) (3) of the Internal Revenue Code of 1986.
