CONSTITUTION AND BY-LAWS OF THE
FBI NATIONAL ACADEMY ASSOCIATES OF
THE
AS AMENDED FEBRUARY, 1988
To promote and make permanent those friendships and
relationships arising from attendance of the F.B.I.
National Academy, and to strive toward advancement of the
profession of law enforcement generally this Association is
organized. We hereby dedicate the functions of this
organization together with the ability and resources of its
membership to the following:
To uphold, support, and defend the Constitution of the
United States. To protect our country against any and all
enemies, whether foreign or domestic. To promote training
programs in all duly constituted law enforcement agencies
within the State of Utah, holding available to such
agencies the benefit of training received at the F.B.I.
National Academy. To cooperate with the Federal Bureau of
Investigation in every way possible. To encourage and
assist in the enlightenment and education of the general
public. To cooperate with all law enforcement officers and
the general public in all matters of mutual interest:
namely, the detection and prevention of crime, the
apprehension and punishment of criminals, the exchange and
dissemination of ideas and information, to pledge and
strive for the highest degree of respect for and the
maintenance of law and order, and to conduct ourselves in a
manner that will lend dignity and credit to the law
enforcement profession.
SECTION I. THE NAME OF THE ORGANIZATION SHALL
BE
UTAH CHAPTER F.B.I. NATIONAL ACADEMY
ASSOCIATES
SECTION I. TERM OF THE ORGANIZATION
The term of this Association shall be
perpetual.
Membership in this Association shall be limited to the
following:
-
ACTIVE MEMBERS: Individuals who have
satisfactorily completed the
prescribed
course of instruction in the FBI National Academy.
Members in good standing with the FBI National Academy
Associates, Inc., who are currently employed as
full-time paid law enforcement officers in the State of
Utah;
-
ACTIVE RETIRED MEMBERS: Individuals who a have
satisfactorily completed the prescribed course
of instruction in the FBI National Academy.
Former active member of any Chapter of the FBI
National Academy Associates, Inc., who have
been honorably retired from a law enforcement
agency.

ACTIVE OR ACTIVE RETIRED SPECIAL AGENTS of the
FBI who have served as National Academy
counselors, National Academy Coordinators,
Executive Managers, or Special Agents-in-charge
of a Field Office or others who have been
directly involved as appointed full-time
administrators of the National Academy program
at FBI headquarters. Active and Retired Special
agents, who otherwise qualify for membership,
shall not be eligible to hold elective
office.

ACTIVE OR RETIRED SPECIAL AGENTS of the FBI who
have been involved with, and/or have supported
the National Academy Program may be nominated
for membership by the Association. The
Association must forward any such nomination
along with supporting documentation of the
nominee’s support, service and/or involvement
in the FBI National Academy Program to the
National Executive Board of the FBI National
Academy Associates for review and approval of
the nominated Special Agent’s
membership.
The dues or assessments of this organization shall be
payable at the
first of each calendar year through the National
Offices of the F.B.I. National Academy Associates,
which yearly assesses both National and Utah Chapter
dues.
The portion of the yearly dues assessed by this association
shall be established by the Executive Board based on the
two-thirds majority of all of the members of the
Board.
SECTION III. SUSPENDED FROM MEMBERSHIP
Membership in this Association shall be automatically
suspended:
-
Upon non-payment of or non-compliance with any
required dues or assessments.
-
Upon participation in activity unworthy of or
inimical to the best interest of law
enforcement, as evidenced by any dismissal from
any law enforcement agency based upon
misfeasance or malfeasance, or by a majority
vote of the membership present at any meeting
of the Association.
-
Upon participation in activity unworthy of or
inimical to the best interests of the F.B.I.
National Academy, as determined by a majority
vote of the membership present at any meeting
of the Association.
-
Upon participation in activity unworthy of or
inimical to the best interests of the Federal
Bureau of Investigation when so decided
administratively by that
Bureau.
Whenever so deemed advisable by majority vote of the
membership present at any meeting of the
Association.
SECTION IV. NOTIFICATION OF SUSPENSION
It shall be the duty of the President to notify any
suspended member of any and all suspension action
pertaining to said member.
SECTION V. REINSTATEMENT OF SUSPENED
MEMBER
Upon elimination or removal of the cause of suspension or
denial of membership, a member may be reinstated to good
standing in the Association by majority vote of the
membership present at any meeting of the
Association.
SECTION I. OFFICERS OF THE
ASSOCIATION
The officers of this Association shall
be;

These officers shall be known as the Board of
Governors and/or the Executive
Board.
SECTION I. ELECTION OF OFFICERS OF THE
ASSOCIATION
The officers of this Association shall be elected at the
Fall annual meeting of the Association
and
,
with the exception of the Secretary/Treasurer, shall serve
for a period of four (4) years from the date of their
election, moving through the positions of

President, President and Immediate Past-President
each year until fulfilling the position of Immediate
Past-President, or until such a time as their
successors have been duly elected and qualified.
Nominations shall be made from the floor until such
time as the membership, by majority voted of those
present, shall effect a change.
The position of Secretary/Treasurer will serve for a period
of five (5) years and, with the approval of the other
members of the Executive Board, may remain in that position
for up to ten (10) years without the need to be re-elected
(ten year maximum). At the end of the two five-year terms,
or at any time after the first five-year term the
Secretary/Treasurer wishes to resign or is asked to step
down by the Executive Board, a new Secretary/Treasurer will
be elected at the next Fall annual meeting by the process
described above.
To maintain a fair unbiased board and to have no perceived
Agency having advantage over another, no agency may have
more than one member sitting on the Board at the same
time
at the time the person is elected unless one of the members
is retired.
SECTION II. PROCEDURE OF ELECTION OF
OFFICERS
The Officers of this Association shall be elected by
majority vote. All members in good standing who are present
at the Fall Conference are eligible to vote.
Election
shall be determined by a count of secret ballots, if there
is more than one nomination for that position.
Votes will be tallied by two of the Board members and the
results given to the President for announcement to the
members.
SECTION III. PROCEDURE IN ABSENCE OF RANKING
OFFICERS
When the office of the President becomes vacant, the

SCXW20622]Vice-President shall assume
responsibilities of the Office of President. If and
when the office of both the President and
1[SCRIPT_ SCXW20622]Vice
President become vacant, the 2[SCRIPT_ SCXW20622]Vice
President shall assume the responsibilities of the
President. If and when the office of President,
1[SCRIPT_ SCXW20622]Vice
President, and 2[SCRIPT_ SCXW20622]Vice
President become vacant, the Secretary shall notify
the membership and shall arrange for and issue call
for a meeting of the membership at which time a
member shall be selected to serve as President until
the next annual meeting.
SECTION IV. REMOVAL FROM OFFICE OF ELECTED
OFFICERS
An officer of the Executive Board may be removed from
their elected position for any of the following
reasons:

Upon suspension from membership as outlined in
ARTICLE III, SECTION III of this Constitution
and By-laws.
-
Not fulfilling the duties of their office as
outlined in ARTICLE VI, SECTIONS I – III of
this Constitution and
By-laws.
-
Non-participation in more than 50% of the
Executive Board Meetings and/or annual meetings
(conferences) of the Chapter during a one-year
period.
When an elected officer is removed from the Executive
Board, the
remaining active elected
officers of the Executive Board will rotate into the next
position on the Board until the vacancy left is filled, and
vacant positions will be filled by the election at the next
Fall annual meeting by the process outlined in ARTICLE V,
SECTIONS I and II of this Constitution and
By-laws.
SECTION I. DUTIES OF THE ELECTED OFFICERS
The President shall preside at all meetings of the
Association. In conducting meetings of the
Association
His/her decision shall be final unless otherwise provided
for by this Constitution. His/her decision may be reversed
by a majority vote of the membership present. He/she
shall appoint all pro-
tem officers in cases of absentees. If, in the
opinion of the President, an occasion or circumstance shall
warrant calling a special meeting, he/she
shall have the authority to call such a meeting and shall
notify the membership of the date, time and place of such
special meeting and the purpose of the same. It shall be
the duty of the President to monitor all financial
obligations against the organization with the
Secretary-Treasurer.
The President shall appoint the members of all committees
otherwise provided for.
The President shall be a member of all
committees.
The President will with the Board review and interview all
candidates to ensure standards are met, to ensure equal
distribution of allotments and to prevent the Chapter from
being penalized.
Protocols will be in writing and the membership will be
notified of the process.
SECTION II. SECRETARY-TREASURER
The Secretary/Treasurer shall collect all income and
disburse all assessments against the Chapter and make an
accounting of such funds at the regular annual
meeting.
He/she
shall have the authority to disburse such monies for
incidental expenses such as stationary, mailing, print,
etc.
He/she
shall place all unexpended money in a fund to the credit of
the Association. He/she shall make a monthly accounting of
all income and expenses, including appropriate
documentation, to the Executive Board. He/she shall arrange
for an outside review of the finances on a yearly basis and
will share the outcomes of that review with the Executive
Board and any active member who requests a copy. He/she
will prepare, or arrange to have prepared, the taxes of the
Chapter on a yearly basis.
He/she
shall keep the minutes of all meetings held. He/she
shall perform any other duties required of him by the
President.
SECTION III. 1[SCRIPT_
SCXW20622]VICE-PRESIDENT
The 1[SCRIPT_
SCXW20622]Vice-President shall also serve as
the Youth Leadership Program (YLP) Coordinator for
the Chapter. In that capacity they will ensure that
notification of application deadlines for the YLP are
sent out and that all requests for information and
applications are fulfilled. They will compile all
applications received for the YLP and extend
interviews to all qualified candidates. They will
arrange for the Executive Board to meet and conduct
interviews of all qualified candidates. They will
tally scores of interviewees according to National
YLP guidelines and will inform all candidates of
their acceptance or non-acceptance into the YLP
following the completion of the application process
and interviews. With the assistance of the FBI
Liaison assigned to the Chapter, they will ensure the
accepted YLP candidate’s application and application
fees are forwarded to the National YLP by the set
deadlines. With the assistance of the
Secretary/Treasurer, they will ensure that all travel
arrangements for YLP are made and reimbursed.
In the absence of the President. The

SCXW20622]Vice-President will preside at all
meetings of the Executive Board and/or Chapter.
The 1[SCRIPT_
SCXW20622]Vice-President will assist with the
annual conferences of the Chapter.
The 1[SCRIPT_
SCXW20622]Vice-President will perform any
other duties as requested by the President.
SECTION IV. 2[SCRIPT_
SCXW20622]VICE-PRESIDENT
In the absence of the President and the
1[SCRIPT_
SCXW20622]Vice-President, the 2[SCRIPT_ SCXW20622]Vice
President will preside at all meetings of the
Executive Board and/or Chapter.
The 2[SCRIPT_
SCXW20622]Vice-President will assist with the
annual conferences of the Chapter. Specifically, the
2[SCRIPT_
SCXW20622]Vice-President will be in charge of
supplying and running the Hospitality Room at the
Chapter Conferences.
The 2[SCRIPT_
SCXW20622]Vice-President will perform any
other duties as requested by the President.
SECTION V. IMMEDIATE PAST-PRESIDENT
The Immediate Past-President will assist with the annual
conferences of the Chapter.
The Immediate Past-President will perform any other duties
as requested by the President.
SECTION VI. BOARD
OF GOVERNORS AND/OR EXECUTIVE BOARD
The President, 1[SCRIPT_
SCXW20622]Vice-President, 2[SCRIPT_
SCXW20622]Vice-President, Secretary-Treasurer
and Immediate Past-President shall be deemed and
regarded the Board of Governors and/or Executive
Board. They shall establish by-laws not inconsistent
with this Constitution, which shall govern this
organization, unless disapproved by a majority vote
of the membership present at any meeting of the
Association.
SECTION I. FISCAL MATTERS
-
NOT FOR PROFIT STATUS: All funding and fiscal
management of the Association shall be in
accordance with the U.S. Internal Revenue Serve
Statutory provisions associated with
not-for-profit organizations and the State of
Utah not-for-profit corporation
laws.
-
ADMINSTRATION OF FUNDS: Revenues received by
the Association will be administered under
direction of the Executive
Board.
-
FISCAL LIMITATIONS: The officers of the
Association do not
have the authority to incur
any indebtedness exceeding the annual income
derived from the dues, other assessments or
other available funds, which have been
authorized.
All committees not otherwise provided for by this
Constitution shall be appointed by the President. All
committees shall serve no longer than one year and may be
relieved of their duties at any time by the
President.
SECTION I. SERGEANT-AT-ARMS
If and when necessary the President shall appoint a member
of the Association as Sergeant-At-Arms for the purpose of
preventing
any
unauthorized person
(s) from attending meetings and to establish
and maintain order.
SECTION I. ORDER OF BUSINESS
The order of business shall be as
follows:

Calling the meeting to order

Reading the minutes of the previous
meeting
-
Nomination and election of
officers
SECTION I. CHANGES AND AMENDMENTS TO THE
CONSTITUTION
Any changes and amendments to the Constitution may be made
by majority vote of the members present at any meeting of
the Association.
Upon the dissolution of this Association, the Board of
Governors shall, after paying or making provision the
payment of all the liabilities of the Association, dispose
of all the assets of the Association exclusively for the
purposes of the Association, or to such organization or
organizations organized and operating exclusively for
charitable or educational purposes, as at such time qualify
as an exempt organization or organizations organized under
Section 501(c)(3) of the Internal Revenue Code of 1986 or
of the corresponding section of any successor Internal
Revenue Code.
SECTION I. MEETINGS OF THE ORGANIZATION
Meetings of the Association shall be defined as those
meetings luncheons
and Retraining sessions to which the entire membership is
invited to be in attendance and are notified of the
meeting.
RESOLVED that the Constitution and By-Laws of the FBI
National Academy Associates of the State of Utah are
amended in the following particulars.
Article
XI shall be and hereby is amended by adding a
new Section II as follows:

Revenue Code. The Constitution and By-Laws of the
Association shall be further amended in any particular to
comply with requirement of the Internal Revenue Code
incident to the granting of tax-exempt status under Section
501(c)(3) of the Internal Revenue Code of
1986.
